1. Acceptance of Terms

By accessing or using the Lucid adaptive e-reader application ("Lucid" or the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are a parent or guardian creating an account for a child under 13, you agree to these Terms on behalf of yourself and your child. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Lucid is an AI-powered adaptive e-reader designed for K-12 students. The Service adjusts reading content in real time to match each student's reading level, providing a personalized learning experience. Lucid is available in two contexts:

  • Family (Consumer) Context. Parents create accounts, manage child reading profiles, and oversee their child's use of Lucid at home.
  • School (Institutional) Context. Schools and districts deploy Lucid for classroom use under a separate Data Privacy Agreement (DPA). School-context use is governed by the DPA and these Terms.

3. Accounts and Registration

3.1 Parent Accounts

Parents register using a magic-link email authentication process. You must provide a valid email address. You are responsible for maintaining the security of your account and for all activity that occurs under your account.

3.2 Child Profiles

Child profiles are created and managed by the parent within the parent's authenticated session. Children under 13 do not create their own accounts, do not provide an email address, and do not agree to these Terms directly. The parent's agreement to these Terms covers their child's use of the Service.

3.3 School Accounts

In the school context, authentication is handled via Clever SSO. Teachers and students access Lucid through their school's Clever credentials. The school or district's agreement to the DPA and these Terms governs school-context use.

4. Acceptable Use

You agree to use Lucid only for its intended educational purpose. You will not:

  • Attempt to access another user's account or data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service for any unlawful purpose.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated systems (bots, scrapers) to access the Service without permission.
  • Upload content that is illegal, harmful, or infringes on intellectual property rights.

5. Content and Intellectual Property

5.1 Lucid Content

The Lucid application, including its adaptive engine, user interface, and original content, is the intellectual property of Fiatos LLC. All rights are reserved.

5.2 Public Domain Content

Lucid's library includes books in the public domain (e.g., Project Gutenberg). These works are not subject to Lucid's intellectual property claims.

5.3 Adapted Content

Lucid generates adapted versions of reading content to match a student's reading level. Adapted content is generated dynamically for the reader's personal educational use. Adapted content may not be redistributed, published, or used for commercial purposes.

5.4 User Content

If Lucid offers features that allow users to upload content (e.g., PDFs), you represent that you have the right to upload such content and grant Lucid a limited license to process it for the purpose of providing the Service. We do not claim ownership of content you upload.

6. Subscription and Payment

6.1 Family Subscription

Lucid is offered as a subscription service for family use. Pricing and subscription terms will be presented during the checkout process. Subscriptions renew automatically unless canceled.

6.2 School/District Licensing

School and district access to Lucid is governed by a separate DPA and licensing agreement. Contact hello@fiatos.ai for institutional pricing.

6.3 Cancellation

You may cancel your family subscription at any time through your account settings. Upon cancellation, you retain access through the end of your current billing period. After the billing period ends, your account data will be retained for 30 days before deletion (see our Privacy Policy for details).

7. Privacy and Children's Data

Our collection and use of personal information, including children's information, is governed by our Privacy Policy. By using Lucid, you acknowledge that you have read and understood our Privacy Policy.

Key commitments:

  • We comply with COPPA for children under 13.
  • We do not display advertisements.
  • We do not sell personal information.
  • We do not create behavioral profiles for non-educational purposes.
  • Parents can review and delete their child's data at any time.

8. School Context and FERPA

When Lucid is used in a school context:

  • The school or district acts as the controller of school-context data under FERPA.
  • Lucid operates as a "school official" with a legitimate educational interest under the school official exception (34 CFR Section 99.31(a)(1)).
  • School-context data is segregated from family-context data using `data_source` tagging and is governed by the applicable DPA.
  • Teachers see only reading data for students in their classroom roster.

8.1 Dual-Context Use (Same Child in Family and School)

When a child uses Lucid in both family and school contexts:

  • Family-context reading events are governed by this Terms of Service and the Privacy Policy. The parent is the controller.
  • School-context reading events are governed by the DPA. The school or district is the controller.
  • Neither context's controller has automatic access to the other context's data. Cross-context visibility requires explicit configuration by the school district.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The adaptive content will perfectly match any particular reading level standard.
  • The reading level assessments provided by Lucid constitute formal educational assessments.

Lucid is a supplemental reading tool. It is not a substitute for professional reading instruction, special education services, or formal reading assessments.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Fiatos LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Fiatos LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Data deletion upon termination follows the schedule in our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will notify account holders by email at least 30 days before material changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.
